Investors in Expertel SL Common Shares must adhere to this Shareholders Agreement.

Depending on the nature of the person doing the investment, to formalise the adhesion to the Shareholders Agreement you must review, fulfill and sign the following Adhesion Schedule:

• Natural person > Adhesion Schedule to the Shareholders Agreement for a Natural Person

• Legal person > Adhesion Schedule to the Shareholders Agreement for a Legal Person

Please, follow this procedure:

1. Read carefully the Shareholders Agreement.

2. Read carefully the Adhesion Schedule to the Shareholders Agreement.

3. Indicate the date of the signature:

In Barcelona, on [Month Day], [Year].

4. Fulfill your identification data (Natural person) :

From the other part, [Mr. / Ms.] [Name(s) Surname(s)] (“[Common Name]” or the “Shareholder””), of legal age and [Nationality] nationality, with personal address at [Street or similar] number [number], [Floor] Floor, [Postal Code], [City] - [Country]), provided with a Spanish Foreign Identification Number (‘NIE’), acting on his / her own behalf. 

5. Fulfill your identification data (Legal person) :

From the other part, [Legal Name of the legal person] (“[Common Name of the legal person]” or the “Shareholder”), [Legal Person Type (company for instance)] of [Nationality] nationality, with Tax Identification Number (‘VAT/NIF’) [Tax Identification Number] and corporate address at [Street or similar] number [number], [Floor] Floor, [Postal Code], [City] - [Country], represented hereby by [Mr. / Ms.]  [Legal Name(s) Surname(s)], of legal age and [Nationality] nationality, with professional address at [Street or similar] number [number], [Floor] Floor, [Postal Code], [City] - [Country], provided with Spanish Foreign Identification Number [(‘NIE’)] NIE acting in his / her capacity as [Title of the legal representative of the legal person, Sole Director for instance] of [Common Name of the legal person].

6. Enter your signature footer (Natural person):

8. Print the document.

9. Sign the Adhesion Schedule with a blue pen in all the pages.

10. Do a colour scan of the document and save it as PDF.

11. Rename the scanned PDF file as per: proceedit yyyymmdd [Legal Name of the Shareholder] Schedule 2 to Expertel Shareholders Agreement.pdf

12. Save the scanned document file for future use.
